Please read these Terms of Service (“Agreement” or “Terms of Service”) carefully before using www.servstudios.com (the “Site”), operated by Serv Studios (“Serv Studios,” “us,” “we,” or “our”). This Agreement sets forth the legally binding terms and conditions for your use of the Site, any mobile application(s) we may offer, and other services that we provide, including services provided at our studio(s) (collectively, the “Services”).

Together with our Privacy Policy, these Terms of Service (collectively, the “Terms” or “Agreement”) apply to your use of the Site, any mobile apps, and the Services.

By accessing or using the Services in any manner—including visiting or browsing the Site, downloading any mobile app(s), creating an account, booking classes, purchasing memberships or packages, or attending classes and events—you agree to be bound by this Agreement. You are only authorized to use the Services if you agree to abide by all applicable laws and these Terms. If you do not agree, you must discontinue use of the Services immediately.

CHANGES TO THIS AGREEMENT

We reserve the right to modify these Terms of Service at any time, in our sole discretion. If we modify material terms of this Agreement, such changes will be effective after we provide notice, where required or permitted under applicable law. Notice may be provided by email, posted notice on the Site or mobile apps, or other reasonable means.

Your continued use of the Services after receiving notice of changes constitutes acceptance of the modified Terms.

If you do not agree to any part of this Agreement or any changes, do not use or access the Services.

ACCESSING THE SERVICES AND ACCOUNT SECURITY

To access certain Services, you may be asked to provide certain information. It is a condition of your use of the Services that all information you provide is correct, current, and complete. Failure to provide complete and accurate information may result in termination or suspension of access.

By using the Services, you represent that you are at least the age of majority in your jurisdiction of residence, or that you are the age of majority and you have given us consent to allow any of your minor dependents to use the Services. By using the Services, you represent that you are over 15 years of age, and, if between the ages of 15 and 18, your parent or legal guardian has consented to these Terms and your use of the Services.

From time to time, we may restrict access to some or all parts of the Services, including studio classes, the Site, and mobile apps.

Accounts

Certain Services require an account. You may not use another person’s account. You are responsible for all activity that occurs under your account and for keeping your password confidential. You agree to notify us immediately of any unauthorized use of your account or other breach of security.

PROHIBITED USES

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

• For any unlawful purpose or in violation of any applicable law or regulation;

• To engage in conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or that may harm Serv Studios or other users, or expose them to liability.

Additionally, you agree not to:

• Use the Services for any commercial purpose without our prior written consent;

• Use the Services in any manner that could disable, overburden, damage, or impair the Site/app or any other party’s use of the Services;

• Use any robot, spider, or automated device/process to access the Services for any purpose;

• Introduce viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material;

• Distribute unsolicited promotional or commercial content or solicit other users for commercial purposes;

• Attempt to interfere with the proper working of the Services.

STUDIO POLICIES, RULES, AND REGULATIONS

Cancellations / Late Cancel Policy

YOU MUST CANCEL A CLASS AT LEAST 12 HOURS IN ADVANCE OR THE CLASS CREDIT WILL BE FORFEITED (OR A LATE CANCEL FEE MAY APPLY).

This includes switching time slots within the 12-hour window. You may cancel through our online booking system or by contacting the studio.

Reservations / Arrival Policy

YOU MUST BE PHYSICALLY PRESENT 5 MINUTES PRIOR TO THE START OF YOUR SCHEDULED CLASS OR YOUR SPOT MAY BE GIVEN TO A WAITLISTED CLIENT.

Membership & Class Commitment Cancellation

CLASS COMMITMENT (4, 6, 8 &12 Classes/Month)

The initial term of this agreement is one (1) month (30 days) following receipt of purchase and continues as long as the membership remains active in your account. This membership auto-renews monthly on the purchase date.

Additional class credits may be purchased during the monthly period.

By purchasing, you understand it is your responsibility to notify your studio or email renata@servstudios.com to cancel your membership at any time. If payment has already been processed on the renewal date, you will not be refunded the renewal cost and your membership will remain active until the end of the current billing period.

Class commitments are subject to our cancellation policy. If you cancel within the applicable cancellation window, you may forfeit one (1) class credit from your membership.

PERSONAL BELONGINGS

You agree that we are not responsible for the safekeeping of your personal belongings while you are present at the studio. You assume all risk of loss.

REFUND POLICY

As applicable, classes, packages, and memberships are non-refundable, with no exceptions except where required by law.

We do not offer refunds on purchases for our services beyond your statutory rights. Please be thoughtful in initial purchases and ensure the Services are a fit before purchasing large packages.

If retail items are offered, we may accept certain items (excluding accessories) for exchange or account credit only, in original unaltered condition with tags intact, within 7 days of purchase. All sales are final on discounted or final sale items. We reserve the right to deny returns or exchanges where permitted by law.

MOBILE SERVICES

Some Services may be available via mobile devices (collectively, “Mobile Services”), including booking, purchasing, and messaging. We do not charge for Mobile Services, but your carrier’s messaging/data rates may apply. Availability and functionality may vary by device/carrier.

TERMINATION & SURVIVAL

We may terminate or suspend your access to the Services at any time, in our sole discretion, with or without notice. You may terminate your account or membership at any time by following instructions in your account settings or by contacting the studio.

If we terminate your account or membership due to a breach of these Terms, you will not be entitled to a refund for any unused portion of memberships or packages.

The following provisions survive termination: Termination & Survival; Assignment; Intellectual Property Rights; Legal Disputes and Arbitration; Governing Law; Indemnity; Limitation of Liability.

THIRD-PARTY SITES

The Site or app may contain links to third-party sites not owned or controlled by Serv Studios. We do not endorse and are not responsible for third-party content, privacy policies, or practices. Please review third-party terms and privacy policies.

ASSIGNMENT

You may not assign or transfer this Agreement without our prior written consent. Any attempted assignment in violation of this section is void. We may assign this Agreement as permitted by law.

FEES

You acknowledge that Serv Studios charges fees for its services and, subject to applicable law, reserves the right to change fees from time to time in its discretion.

INTELLECTUAL PROPERTY RIGHTS

All content on the Site and mobile apps, including text, graphics, photos, videos, and other materials (“Content”), and all trademarks, service marks, and logos (“Marks”), are owned by or licensed to Serv Studios and protected by applicable intellectual property laws.

Content is provided “as-is” for personal, non-commercial use only and may not be copied, reproduced, distributed, transmitted, displayed, sold, licensed, or otherwise exploited without prior written consent.

Feedback

If you submit comments, suggestions, or ideas (“Feedback”), you agree it is provided on a non-confidential basis and you grant Serv Studios an unlimited, perpetual right to use it for any purpose without compensation.

ENTIRE AGREEMENT & NO WAIVER

These Terms, together with our Privacy Policy and any other legal notices we publish, constitute the entire agreement between you and Serv Studios regarding the Services and supersede prior agreements.

If any provision is found unenforceable, the remaining provisions remain in effect.

Our failure to enforce any right or provision is not a waiver of such right or provision.

SERVICE INTERRUPTIONS

Services may be suspended temporarily or permanently without notice for security, maintenance, repair, system failures, or other circumstances (“Service Interruptions”). You are not entitled to a refund or rebate due to Service Interruptions.

LEGAL DISPUTES AND ARBITRATION AGREEMENT (U.S. & CANADA USERS)

PLEASE READ THIS SECTION CAREFULLY. IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Initial Dispute Resolution

We are available by email at info@servstudios.com to address concerns. You and we agree to attempt to resolve disputes through good-faith negotiations before initiating arbitration or litigation.

Agreement to Binding Arbitration

If we do not reach a solution within thirty (30) days of informal dispute resolution, either party may initiate binding arbitration. All claims arising out of or relating to these Terms, our relationship, and/or your use of the Services will be settled by binding arbitration administered by JAMS under the JAMS Streamlined Arbitration Rules and Procedures, excluding rules that permit class actions.

A single neutral arbitrator will be selected. The arbitrator has exclusive authority to resolve disputes regarding interpretation, applicability, enforceability, or formation of these Terms. The arbitrator may award any relief available in court. The arbitration award will be written, binding, and may be entered in a court of competent jurisdiction. The Federal Arbitration Act governs interpretation and enforcement.

JAMS rules may be accessed at https://www.jamsadr.com/adr-rules-procedures.

If you initiate arbitration and the filing fee exceeds $250, we will pay the additional amount, subject to the process described in the JAMS rules. Each party is responsible for its own attorney fees and expenses unless the arbitrator awards otherwise under applicable law.

Class Action Waiver

Arbitration will be conducted only on an individual basis. You and we waive any right to participate in a class action or class arbitration. If this waiver is found unenforceable and arbitration may proceed on a class basis, then the arbitration provision is null and void in its entirety.

Exception – Small Claims Court

Either party may bring claims in small claims court if within that court’s jurisdiction.

30-Day Right to Opt-Out

You may opt out of arbitration and the class action waiver by emailing info@servstudios.com within thirty (30) days of accepting these Terms and providing: (i) your name, (ii) your account email, (iii) your mailing address, and (iv) a statement that you do not wish to resolve disputes through arbitration. If you opt out, we will also not be bound by arbitration for disputes with you.

Exclusive Venue for Litigation (If Arbitration Doesn’t Apply)

If arbitration does not apply or you opted out, you and we agree that any litigation will be filed exclusively in state or federal courts located in Dallas County, Texas (except small claims court actions which may be brought where you reside, if permitted). You and we consent to personal jurisdiction and venue in those courts. To the maximum extent permitted by law, you and we waive any right to a jury trial where permissible.

GOVERNING LAW

This Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles.

INDEMNIFICATION

You agree to release, indemnify, and defend Serv Studios and its affiliates, officers, directors, employees, contractors, agents, and representatives (the “Serv Studios Entities”) from third-party claims and costs (including reasonable attorneys’ fees) arising from: (1) your use of the Services; (2) your conduct or interactions with other users; or (3) your breach of these Terms.

LIMITATION OF LIABILITY

PLEASE READ THIS SECTION CAREFULLY SINCE IT LIMITS THE LIABILITY OF THE SERV STUDIOS ENTITIES TO YOU.

By attending classes, events, and activities, using studio facilities/equipment, and/or using the Services, you acknowledge there are inherent risks in physical exercise programs and that you voluntarily choose to participate. You understand we recommend consulting with a physician prior to starting classes. You assume all risks for your health and well-being and release and hold harmless the Serv Studios Entities from responsibility, costs, and damages to the maximum extent permitted by law.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERV STUDIOS ENTITIES DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERV STUDIOS ENTITIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR LOSS OF DATA ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO CEASE USE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERV STUDIOS ENTITIES’ MAXIMUM AGGREGATE LIABILITY TO YOU IS LIMITED TO THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow certain limitations; in those jurisdictions, some of the above may not apply to you.

SEVERABILITY AND WAIVER

If any provision is unlawful, void, or unenforceable, it will be severed and the remainder will remain in effect. Failure to enforce any provision is not a waiver.

NOTIFICATIONS

We may provide notifications via email to the primary email associated with your account, mobile notification, hard copy, or posting on the Services. We are not responsible for spam filtering or similar settings applied by you or your provider.

INTERPRETATION

Headings are for convenience only and do not affect interpretation.
